Underwriting and Underpricing Essay Example
Underwriting and Underpricing Essay Underwriting spread represents the net proceeds that the underwriter will realize from the investment. It is the difference between the price per share that is paid to an issuing corporation by an underwriter or underwriting group, and the public offering price that the underwriter offers to the public. While traditionally the underwriting spread was viewed as compensation for underwriting the issue, it now has been introduced as an incentive fee where it act as bonus for investment bank when they performance better than expected. There has been evidence of clustering of spreads internationally, in the US spread is clustered at 7%( Chen+Ritter 2000), in Hong Kong 95% of fees are clustered at 2. 5%( torstia 2003) and in Europe fees range from 3-4%. In general, the more clustering presented in a country, the smaller the spread, vice versa. Furthermore, Esho et al (2004) analyzed the underwriting spread in Euro market found out that there is a positive and direct relationship between the fee charged by the investment banks and the reputation of the investment bank. (link to underpricing Underpricing refers to the first trading day closing price typically exceeds price at which the shares were offered to the public. Over 20 years, researchers investigated the underpricing puzzle associated with initial public offerings (IPOs). Ibboston1975, Ibbostson and Jaffe 1975 and Ritter 1984, among others, all document convincing evidence that initial public offerings are, on average underpriced. There are sufficient evidence of underpricing in UK (increase over time, from 3. 8% to 19%, Chambers and Dimson 2009), USA (40% between 1999-2003) and internationally(gt;15%).Visas offering in March 2008 is a good example of how IPOs are strategically underpriced. Although the IPO of Visa was an almost certain success, the price was kept at a low $44. As buyers ran in, the stock jumped to $69 and, although it fell back to $56. 40 by the close, there was a 28. 4% underpricing, thus lea ving a huge amount of the issuerââ¬â¢s money on the table. However, compared to the overpricing Facebook 2012 which made investors unhappy and damage the bankââ¬â¢s reputation, it can contribute to the reason why underwriters underprice the shares. Therefor it is clear that both underpricing and underwriting spread are costs for the issuer.Chen and Ritter (2000) explained the cost, by stating that underwriting spread was the direct compensation for IBs underwriting the issue and the level of underpricing was an indirect compensation. Smith (1986) also argued that the issuer seeks to maximize the issuer proceeds when it sells securities in an underwritten issue, and is not separately concerned about the underwriting spread or the offer price. Although underpricing and spread are both costs to issuers, issuers still consider the underwriting spread and underpricing together in an IPO based on the following reasons. The issuerââ¬â¢s objective is to minimize the underpricing and spread costs associated with its IPO of its common equity. More concerted effort by the underwriter or the choice of underwriters could reuce the underpricing costs associated with the offering. For instance, banks that specialize in underwriting firms from certain industries, or reputational investment banks may provide greater certification value for firmââ¬â¢s IPO and hence reduce its underwriting costs. In return, such banks could be expected to demand a higher spread as compensation. The spread could also be a function of the risk associated with the security and the size of the offering among other factors. If we consider the spread and underpricing from the underwriterââ¬â¢s view, according to the principal-agent theory, underwriter faces a trade off between the level of underpricing and the fee. This is because if they underprice they face less risk of not being able to sell the issue, but the fee can be dependent on the value of the issue. This shows there is a trade off between spread and underpricing. And the theory suggests the issuer should delegate the decision of deciding the fee and the level of underpricing to the underwriter so they can balance the costs. Because the issuers do not have enough information, do not actually decide. This view can be supported by early studies focus on asymmetric information, which is one of the reasons of underpricing. Baron (1982) argues that asymmetric information exists between underwriters(better informed) and the issuers(less informed), therefore, underwriters are able to price new issues below the market equilbrium to reduce the probability that they will absorb losses due to unsold shares.Another theory which is the efficient contract hypothesis, whereby banks do not compete on the fee/spread, this is fixed, but compete on other quality variables such as underpricing certification and reputation. This once again highlights there is a relationship between spread and underpricing, as if spread is fixed , underpricing is a means for competing against other underwriters. Evidence of this was found by Honsen (2001) where____ issues where spread was fixed at 7%, there was a higher variation of underpricing, suggesting underwriters were competing on underpricing as they were not on the spread charged. Both principal-agent theory and efficient contract hypothesis showed evidence that there is negative correlation between spread and underpricing. However, Kim et al. found out that there is strong evidence that over the long term, underpricing and underwriting spreads are positively related. In particular, low-quality issuers are charged both higher underwriting spread and initial returns as compared to high-quality issuers. This was specifically prominent in low quality issuers who were charged fee of 7. 3% and underpricing of 45. 21%, whilist high quality issuers were charged fees of 7. 39% and underpricing of 18. 92%. This suggests a complementary relationship between spread and underpr icing particularly for low quality issuers. However, Yeoman(2001) suggested net proceeds maximisation theory, whereby the spread and underpricing are substitutes and negatively related. The found evidence of this in his research of IPOs from 1988 to 1933, where there are trade offs that the underwriter must decide between. This was further supported by Ljungquist(2003) who also found a negative relationship between spread and underpricing and therefore as initial returns increased the spread decrease and vice versa. Therefore, there is mixed evidence on ____initial returns and underwriting spreads in IPOs are complements or substitutes, ___evidence found of both a positive and negative effect. However, it is clear that there is a strong relationship returns, that must be managed by both issuers and underwriters.

District Attorneys office Research Paper Example | Topics and Well Written Essays - 1000 words
District Attorneys office - Research Paper Example A good attorney spends most of their time researching, has a great memory and writes convincingly, so any degree that prepares on for this is probably a good choice. Depending on what particular field in law one wants to go into, there are other options. It is not unheard of for individuals with an established career to attend law school in mid-life in order to become a litigator in their chosen field. Many colleges offer some sort of pre-law coursework and this is not a bad idea if it can be worked into the schedule. Any course of study at the undergraduate level that familiarizes the student with the course of study in law school will be of benefit and help the student achieve higher comprehension and higher grades in law school. Asking the prospective law school what kind of coursework would be beneficial will result in solid information as to what the admissions board would like to see. Wise students will try to provide the admissions board with a high GPA along with the course o f study and life experience the board is looking for if they want to be admitted. If law school is the goal, then the undergraduate degree is just the final step on the path prior to law school. With undergraduate degree in hand, the next step is to get accepted into law school. An appropriate degree from a good school, a high grade point average and an excellent LCAT score should provide the applicant with many options as to which school to consider. There are three types of law schools and each provides the student with a different experience and benefits package for a variable price. : Ivy League schools such as Harvard or Yale are the top tier, where the coursework is rigorous but the real value is the rolodex one could walk away with after graduation. Ivy League schools are expensive and should be considered an investment in who one gets to know as much as what one learns. The value of relationships and ââ¬Å"connectionsâ⬠cannot be understated, and this is the true value of attending the prestige schools. There are plenty of solid Universities that have excellent law schools, all provide a solid education and possibly some good connections but the value of this choice is the quality of the education in terms of cost. It is possible to shop around and find a well-regarded law school that offers the degree for a much lower price than a comparable school. Keep in mind that the admission process will be tougher because more people will be applying. (Sedberry) The bottom tier schools simply provide one with a degree and hopefully the preparation necessary to pass the bar exams. Cost and time are usually the major issues here, as it is possible to go to school part time and complete a law degree in four to six years. Several schools offer online law degrees (adultlearn.com). A prosecutor works for the State, so any law school will work as long as it results in passing the bar exam. The better the school the better-off the individual is when trying to get hired, but passing the bar exams makes the attorney a member in good standing with the union. The course of study in law school is normally three years and results in the award of the Juris Doctorate degree. In general, the first two years of law school consists of the basic curriculum and all the students are in competition with one another. The class standing is based on the performance in these classes. One way to

Revolutionary Republicanism Essay Example for Free
Revolutionary Republicanism Essay Revolutionary republicanism is an ideal example of the American war fighting for their independence from England. The ideology of revolutionary republicanism is pieced together from English political ideas, Enlightenment theories, and religious beliefs. This was all constituted with the revolution in thought. Many lives, economies, politics, religions, and even thoughts were changed in effect to the American war. The Revolutionary republicanism by the American War caused a lot of change in many peopleââ¬â¢s lives. Native Americans, women, African Americans, and Loyalists were all affected by this change. Many Native Americans homes, family, and fields were destroyed by the war. The group from the Native Americans mostly affected by war were the Iroquois. In the summer of 1779, American troops launched raids into the Iroquois country. These attacks caused many burning villages, the killing of men, women, and children, and destroying a lot of corn. By the end of the war the Iroquois had lost about one-third of their people as well as many towns. Even though many Native Americans lost lives because of the war, it brought countless numbers of them to America. The second group of lives changed by war were women. Women still continued to fight for their rights and freedom but they continued to be denied franchise. Women had still never voted nor held office positions except on a few occasions. Then in New Jersey the constitution of 1776 opened the franchise to ââ¬Å"all free inhabitantsâ⬠who met property and residence requirements. Many women took advantage of this. After this womenââ¬â¢s traditional roles took a new and improved political meaning. The third group that had their lives changed because of revolutionary republicanism was the African Americans. During the war many African Americans were enlisted in support of the revolutionary cause. Then after the war about 20% of African Americans went to behind the British lines to gain freedom. Most of the blacks saw England as freedom not tyranny. The slaves who fled behind British lines never sought out their freedom. Then lastly many Loyalistsââ¬â¢ lives were changed. Most of the Loyalists gained partial reimbursement for their losses. All loyalists were deprived of voting, confiscating houses, and banishing from their homes. Also the punishing of Loyalists, accused of Loyalism, was popular. The American war didnââ¬â¢t just change peopleââ¬â¢s lives it changed the economy, religion, and politics too. After the War people were into politics like never before. Newspapers multiplied and pamphlets by the thousands followed the political debates. The expansion of popular politics resulted from an explosive combination of circumstances. The war also put huge stress on the economy too even though the war ended with an American victory. The war had caused many casualties, properties being destroyed, and the local economies being unbalanced. This conflict left the Iroquois and the Cherokee severely weakened. This opened the doors to the western expansion. The ideology of revolutionary republicanism is pieced together from English political ideas, Enlightenment theories, and religious beliefs. This was all constituted with the revolution in thought. Because the war had changed so many lives and thoughts the nation as a whole began to transform. By 1783 a new nation had come into being, and it was based on doctrines of republican liberty.

A Dolls House by Henrik Ibsen :: English Literature
To understand the meaning of A Dolls House by Henrik Ibsen we read the whole script. To go deeper into the meaning we used our own drama abilities to explore. To understand the meaning of A Dolls House by Henrik Ibsen we read the whole script. To go deeper into the meaning we used our own drama abilities to explore. We used Hot-Seating, Collages, and Still Image. All of these three things helped me understand the meaning of the play and explore the characters further. The script does not tell me everything I need to know, a lot of things are hidden, and techniques are needed to protrude facts. When you begin to understand the play you begin to appreciate what a fantastic play writer Ibsen actually is. We used Hot Seating at first in the exam. The teacher would say a character and the stage the character is at in the play. The character I have chosen to analyse is Nora. Vicki played Nora in Hot-Seating. We all asked her questions to see how she answered her. This helped a lot as we were finding things out about Nora that are not bluntly stated in the script. For example we find out why she has macaroons and how it builds up tension. When Vicki was being Nora it made me realise what Ibsen was doing with the Macaroons. He was building up tension bit by bit. The macaroons were showing the reader of the play that Torvald had some kind of control over Nora and that she had a disobedient side to her. It showed us she would lie to Torvald. Throughout the play this enhances and evolves into something much bigger. Nora has lied to Torvald and this time it is much more serious than macaroons. She has betrayed him and it is close to him finding out. The macaroons were Ibsen's way of showing me that Nora was devious and could undermine Torvald and then it transforms into something much bigger. The reader knows this could happen but when it does it shocks. To show me what I said above someone asked the question "Would you ever lie to Torvald?" Vicki helped me understand that towards the end Nora begins to realise she does not love Torvald and that she decides to leave him. This showed me that Torvald could NOT stop her and shows me how sexism has collapsed socially. Ibsen is trying to show how bad sexism is in this play. , Using Nora and Torvald. I Played Mrs Linde in Hot-Seating, it helped me also being in he position.

What +-Motivates Me
Different things motivate me to learn. I can relate to Saraââ¬â¢s story because I am about the same way when it comes to learning or doing something. I need to know I am going to gain something from it. I know that going back to school and getting my degree will better help my me get a better career and will benefit my family in the long run. I see myself making goals and visualizing me with my degree as Chris does with his ââ¬Å"finish lineâ⬠visual. I always prepare myself for something coming up and slowing me down which it has in the past. Real life experiences have knocked me down more than once and I can justify with Fredââ¬â¢s story on future and past experiences. I have been laid off first because I had no degree in my past and I look back at that and it motivates me a great deal to keep going forward with school. I like to learn new stuff and accept challenges in a new job or learning something new just like Jamie in her story. I think what content that motivates me the most me the most to learn is Practical context. It is hard for me to just go do something without knowing I am going to benefit from it. I am the type that has to have someone push me or set me straight. For example I went on a job interview and they really liked my experience and skills but told me I wasnââ¬â¢t going to work out because they needed someone with a BA degree and told me that once I got so many credits under my belt they would consider me in the future if a spot is available. I have seen several job postings and they want you to have college credits. I know if I get my degree I am going to gain a lot from it and that motivates me to get out there, learn and move forward. Personal context is something I can also relate to motivate me to learn because I always visualize me getting that degree and starting my career as a Social worker or a Parole officer, so when I actually see myself doing this I get motivated and excited to do my classes. If I ever have doubt or think I canââ¬â¢t, I really just visualize how it will be and it helps me.
